Terms of Service

By accessing or using the miJamii™ platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms apply to all users of the Platform, including subscribers, curators, partners, and community members. By registering an account or accessing any part of the Platform, you confirm that you have read, understood, and accepted these Terms.

We reserve the right to update these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

miJamii™ is a B2B community platform operated by SBH Solutions GmbH, Zürich, Switzerland ("we", "us", "our"). The Platform enables businesses to create, manage and activate branded communities through real-world experiences, event management, partner collaboration, and measurable local commerce.

The Platform is intended for business use. By registering as a subscriber, you confirm that you are acting in a professional or commercial capacity.

To access the Platform, you must register an account and provide accurate, complete information. You are responsible for:

- Maintaining the confidentiality of your login credentials - All activity that occurs under your account - Notifying us immediately of any unauthorised access or security breach

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in conduct harmful to the Platform or other users.

Subscription Tiers miJamii™ offers three subscription tiers: SEEDLING (CHF 149/month), ROOTED (CHF 349/month), and BLOOMING (CHF 749/month). Each tier grants access to a defined number of communities and associated features as described on the Pricing Plans page.

Billing Subscriptions are billed monthly in advance. Payment is processed via Stripe. By providing payment details, you authorise us to charge the applicable subscription fee on a recurring basis.

Cancellation You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

Price Changes We reserve the right to change subscription pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

- Use the Platform to transmit unlawful, harmful, defamatory, or fraudulent content - Attempt to gain unauthorised access to any part of the Platform or its infrastructure - Reverse engineer, decompile, or extract source code from the Platform - Use automated tools to scrape, crawl, or extract data from the Platform without our written consent - Resell or sublicense access to the Platform without prior written agreement - Use the Platform in any way that could damage, disable, or impair its operation

We reserve the right to suspend or terminate access for any violation of this section without notice.

As a subscriber, you are responsible for the communities you create and the members you invite. You must:

- Obtain appropriate consent from community members before collecting or processing their personal data - Comply with applicable data protection laws, including the Swiss nFADP and EU GDPR where applicable - Not use member data for purposes beyond those disclosed at the point of collection

We act as a data processor on your behalf for member data stored within your communities. Our processing of personal data is governed by our Privacy Policy and, where applicable, a Data Processing Agreement.

Our IP All content, design, code, trademarks, and materials on the Platform — including the miJamii™ brand, logo, and software — are owned by or licensed to SBH Solutions GmbH. Nothing in these Terms grants you any right to use our intellectual property without prior written consent.

Your Content You retain ownership of any content you upload to the Platform (including community descriptions, event details, and branding assets). By uploading content, you grant us a non-exclusive, royalty-free licence to host, display, and process that content solely for the purpose of providing the Platform services.

You are responsible for ensuring that any content you upload does not infringe the intellectual property rights of third parties.

The Platform integrates with third-party services including Stripe (payment processing) and email delivery providers. Your use of these services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or conduct of third-party services. Any disputes arising from third-party services must be resolved directly with the relevant provider.

Disclaimer of Warranties The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability To the fullest extent permitted by applicable law, SBH Solutions GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the three months preceding the claim.

We may suspend or terminate your access to the Platform at any time, with or without notice, if:

- You breach these Terms - We are required to do so by law - We discontinue the Platform or any part of it

Upon termination, your right to access the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. You may request export of your data within 30 days of termination.

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Zürich, Switzerland.

If you are a consumer located in the EU, you may also have the right to refer disputes to your local courts or an alternative dispute resolution body under applicable EU law.
